We are seeking a Chief Financial Officer to lead financial strategy and operations for a growing software-focused holding company. The CFO will work closely with the founder and leadership team to manage capital allocation, build scalable financial infrastructure, and oversee M&A transactions — from due diligence to post-acquisition integration. Think about this as a number 2 in the business, partnering with the CEO in the future growth of this business.
This role is ideal for someone with a strong track record in finance leadership for SaaS or technology businesses, who thrives in a dynamic environment where both operational rigor and strategic thinking are critical. Ideally, you have come from a holdco or P/E firm in a Financial leadership role.
Key Responsibilities
Financial leadership: Build and lead all aspects of financial strategy, reporting, budgeting, and forecasting.
M&A expertise: Lead financial due diligence, valuations, deal structuring, and integration for acquisitions.
Capital management: Partner with the leadership team on capital allocation strategies, fundraising initiatives, and investor relations including our board.
Infrastructure and systems: Implement robust financial controls, tools, and systems to scale efficiently.
Strategic planning: Provide financial insights to guide growth strategies, performance metrics, and risk management.
Board and stakeholder reporting: Communicate performance metrics, forecasts, and opportunities to leadership and investors.
Establish and maintain a strong internal control environment to safeguard assets, ensure data integrity, and support audit readiness.
Ensure full compliance with applicable financial regulations, tax laws, corporate governance standards, and industry-specific requirements (e.g., GAAP, IFRS, SOX, local jurisdictions).
Lead the coordination of annual external audits, tax filings, and regulatory reviews, ensuring smooth interactions and timely resolution of any issues.
Serve as the primary liaison with external auditors, tax advisors, legal counsel, and other compliance-related stakeholders, fostering transparent and proactive relationships.
Develop and enforce policies and procedures that promote financial accountability, risk mitigation, and ethical conduct across the organization
Responsible for the process of tracking and managing a company's equity ownership, including the number and types of shares, as well as other equity-related instruments like stock options and warrants, while owning the quarterly shareholder report process and issuance.
Overseeing the organization's tax obligations, ensuring accurate and timely filing of tax returns, and managing potential tax risks. This includes developing and implementing tax strategies, staying current on tax laws, and managing tax audits or disputes.
The CFO also ensures financial reporting accurately reflects tax liabilities and works with external advisors to optimize tax positions.
Portfolio Support & Performance Management
Help set and monitor financial goals and KPIs for each operating company.
Provide hands-on support in pricing strategies, customer profitability, cost optimization, and financial turnaround.
Ideal Candidate Profile
10+ years of finance experience, with at least 5 years in a senior leadership role (VP Finance or CFO).
Proven experience in SaaS, technology, or software roll-up/holding companies.
Deep M&A experience, including financial modeling, deal negotiation, and integration.
Comfortable working in entrepreneurial, fast-moving environments with lean teams.
Strong background in building scalable financial operations for small to mid-sized companies ($10M–$100M ARR preferred).
CPA, CFA, or MBA is a plus.
